Clarifying complex T&Cs and rebate arrangements delivers strong recovery for ABL provider

Background

A bank lender’s ABL team instructed us to review one of their clients after increasing complexity within the business raised concerns about the accuracy and recoverability of the sales ledger.

Operating in the technology sector, the client’s trading model involved a mix of promotional discounting, rebate structures and international account management, making it difficult for the lender to understand the true sales ledger position.

Hilton-Baird Collection Services conducted an initial Telephone Debt Verification (TDV) which highlighted further inconsistencies and, when the client subsequently entered administration, the ledger – valued at just under £2m across more than 60 debtors – required a full collect‑out.

The challenge

With a range of promotional discounting, marketing rebates and influencer-related deductions applied over time, some without aligned reserves, determining the legitimacy of claims became more difficult. This required careful attention to detail and analytical interpretation of the client’s historical commercial agreements and supporting documentation.

Adding to the challenge, several payments had been made to a newly created entity and needed to be fully understood and, where appropriate, repatriated. Key account managers were based in both Europe and the United States, meaning important commercial knowledge existed across multiple time zones and teams.

The solution

The team at Hilton-Baird Collection Services carried out a detailed review of underlying contracts, rebate structures and promotional agreements to build a clear picture of what had been agreed and how deductions should apply. This required interpreting complex pricing mechanisms and promotional terms that had evolved over time.

To ensure full visibility, Hilton-Baird worked closely with the client’s international account managers and billing teams – individuals who held deep historical understanding of the arrangements. Through regular discussions, coordinated across both EU and US time zones, we were able to validate disputes, reconcile deductions and uncover the commercial rationale behind historic promotional activity. This personal engagement was key to unlocking information not captured in formal documentation.

Alongside this, we identified payments routed to the NewCo, reviewed their origins and ensured correct allocation or repatriation. Throughout the process, clear updates were provided to the ABL provider, giving them complete transparency and confidence at every stage.

The result

Despite the level of complexity, the collaborative approach and depth of analytical work ensured we could recover the lender’s position in full, collecting almost 80% of the ledger – a significantly stronger outcome than originally anticipated

The clarity gained around deductions, combined with our ability to work effectively with the client’s teams, helped protect the ABL provider’s position and ensured a fully evidenced collect‑out.  The provider has subsequently instructed Hilton-Baird on further cases, recognising the value of dedicated expertise in maximising recoveries.
